Terms of Service

These Terms of Service form a binding agreement between you and Aegis Safety LLC. Please read them carefully. They explain the service we provide, your responsibilities, and the important limits on our liability, including that Aegis is a decision-support tool and never a substitute for a qualified safety professional’s judgment.

1. Agreement and acceptance

These Terms of Service (the "Terms") are a legal agreement between Aegis Safety LLC, a Colorado limited liability company ("Aegis", "we", "us", or "our"), and the individual and organization that creates or uses an Aegis Safety workspace (the "Customer", "you", or "your"). By creating a workspace, clicking to accept, or otherwise accessing or using the service, you agree to be bound by these Terms. If you do not agree, do not access or use the service. We record the version of these Terms you accept at signup so that a materially changed version can be presented to you again.

2. Eligibility and authority to bind

You must be at least 18 years old and able to form a binding contract to use Aegis. If you accept these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to that organization. Aegis is a workplace tool intended for business use and is not directed to consumers or to children.

3. The Service

Aegis Safety is a multi-tenant field safety platform that provides daily inspections, checklists, recordkeeping, and AI-assisted safety intelligence, together with related dashboards, reporting, and communication tools (the "Service"). The Service is delivered as software-as-a-service over the internet and may evolve over time as we add, change, or remove features. The specific capabilities available to you depend on your plan and the safety scopes enabled for your organization.

4. Accounts, roles, and security

To use the Service you create an account and an organization workspace. Accounts carry roles, such as administrator and field user, that determine access within your workspace. You are responsible for keeping login credentials confidential, for all activity that occurs under your accounts, and for promptly notifying us of any unauthorized use. You are responsible for the accuracy of the registration information you provide and for keeping it current.

5. Acceptable use

You agree to use the Service only for lawful safety and business purposes and in compliance with these Terms and applicable law. You will not: misuse, probe, or interfere with the Service or its security; access the Service to build a competing product or to benchmark it without our written consent; upload unlawful, infringing, or malicious content; attempt to access another organization’s data; or use the Service in a way that could harm Aegis, its providers, or other customers. We may set reasonable technical limits, including AI usage limits, to protect the Service.

6. Customer responsibilities and qualified review

Aegis is a decision-support tool that helps your safety professionals work faster. It does not replace them. You are responsible for having a qualified safety professional review all AI-generated output, findings, and recommendations before any field, compliance, recordkeeping, or disciplinary use, and for the decisions you make based on the Service. You remain solely responsible for your own safety program and for compliance with all applicable laws, regulations, and standards, including OSHA, MSHA, DOT, and state requirements.

7. AI-generated output and no professional advice

The Service uses artificial intelligence to analyze the inspection data, comments, and photos your organization submits and to generate summaries, scores, coaching, and other safety intelligence. AI output can be incomplete, inaccurate, or not suited to your situation, and it is provided for informational purposes only. AI output is not legal, regulatory, medical, or professional safety advice, is not a certification of compliance, and must not be relied upon as the sole basis for any safety or compliance decision. You control what data you submit to the Service.

8. Customer Data and ownership

As between you and Aegis, you own the inspection data, comments, photos, and other content your organization submits to the Service ("Customer Data"). You grant Aegis a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely to provide, secure, support, and improve the Service for you, and as otherwise described in the Privacy Policy. You are responsible for having the rights and any consents needed to submit Customer Data, including any images of people, and for ensuring it does not violate the rights of others or applicable law. Consistent with the Privacy Policy, we do not use Customer Data to train third-party AI models.

9. Fees, plans, and AI credits

Access to the Service may be offered free, as a trial, or under a paid plan, as described at the time you sign up or in an order. Where fees apply, you agree to pay them for the plan you select, and except where required by law, fees are non-refundable. Certain AI features are metered and consume AI credits subject to monthly limits associated with your plan; we may adjust limits and pricing on a going-forward basis with reasonable notice. Paid plans renew for successive terms of the same length unless you cancel before the renewal date. We may change plans, features, and fees for future terms.

10. Intellectual property and feedback

The Service, including all software, models, prompts, knowledge bases, user interfaces, and content we provide (excluding Customer Data), and all related intellectual property rights, are and remain the exclusive property of Aegis and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription. If you give us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you. "Aegis Safety" and related marks are trademarks of Aegis Safety LLC.

11. Data protection and sub-processors

We process Customer Data only to provide the Service, in accordance with these Terms, your instructions, and our Privacy Policy, which is incorporated into these Terms as our data-processing terms. We protect Customer Data with reasonable safeguards and will notify you without undue delay after becoming aware of a personal-data breach affecting it. To deliver the Service we rely on a small set of trusted sub-processors, including Anthropic for AI processing, Supabase for database and authentication, Vercel for hosting, and Resend for transactional email, each bound by confidentiality and data-protection obligations and receiving only the data needed for its role. We maintain the current list in our Privacy Policy and will give notice there before adding a sub-processor; if you reasonably object to a new sub-processor on data-protection grounds, you may notify us, and if we cannot reasonably address your concern you may terminate the affected Service. Your use of the Service may be subject to those providers’ applicable terms, and we are not responsible for third-party services we do not control.

12. Confidentiality

Each party may receive information of the other that is marked or reasonably understood to be confidential, including the non-public features and performance of the Service and your business information. Each party will protect the other’s confidential information using at least reasonable care, will use it only to perform under these Terms, and will not disclose it except to those with a need to know who are bound by similar obligations, or as required by law. Customer Data is treated as your confidential information.

13. Disclaimers and no warranty

The Service and all AI-generated output are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Aegis disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Aegis does not warrant that the Service will be uninterrupted, error-free, or secure, that any finding will be accurate or complete, or that use of the Service will result in compliance with any law, regulation, or standard. You assume full responsibility for your use of the Service and any decisions based on it.

14. Limitation of liability

To the fullest extent permitted by law, Aegis and its providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, or for any personal injury, property damage, regulatory penalty, or business interruption, arising out of or relating to the Service, even if advised of the possibility. Aegis’s total aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of the amount you paid to Aegis for the Service in the twelve months before the event giving rise to the claim, or one hundred US dollars (US$100). These limits apply regardless of the theory of liability and are a fundamental basis of the bargain between us. Nothing in these Terms limits liability that cannot be limited under applicable law, such as for fraud, willful misconduct, or death or personal injury caused by negligence, or limits your indemnification obligations under Section 15 or either party’s breach of its confidentiality obligations under Section 12.

15. Indemnification

You will defend, indemnify, and hold harmless Aegis and its members, officers, and providers from and against any claims, damages, liabilities, and reasonable costs (including attorneys’ fees) arising out of or relating to your Customer Data, your use of the Service, your safety or compliance decisions, or your breach of these Terms or violation of law. We will give you prompt notice of any such claim and reasonably cooperate in the defense.

16. Term, suspension, and termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or create risk or legal exposure for Aegis or others, and we may discontinue the Service with reasonable notice. If we terminate or discontinue the Service for a reason other than your breach, we will refund any prepaid fees covering the unused portion of your then-current term. On termination, your right to use the Service ends, we will handle your data as described in the Privacy Policy, and you are responsible for exporting any Customer Data you wish to keep before your account is closed. Sections that by their nature should survive termination will survive.

17. Governing law and dispute resolution

These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. The parties will first try in good faith to resolve any dispute informally by contacting each other. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Denver County, Colorado, and the parties consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial to the extent permitted by law. Nothing here prevents either party from seeking injunctive relief to protect its intellectual property or confidential information. To the extent permitted by law, each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

18. Changes to the Service and to these Terms

We may update these Terms from time to time. When we make material changes, we will update the version and effective date on this page and, where appropriate, present the updated Terms for your acceptance the next time you sign in. We record the version you accepted at signup so a materially changed version can be re-presented. Your continued use of the Service after an update takes effect means you accept the updated Terms.

19. General terms

These Terms, together with the Privacy Policy and any order or plan, are the entire agreement between you and Aegis about the Service and supersede prior agreements on that subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control. We may give notices through the Service or to your account email, and you may reach us at the contact below.
